There will always be significant quality loss when going from DV to MPEG1.
MPEG2 can produce a picture that is nearly identical to the original DV footage. Use a good encoder, use two pass variable bit rate, and set both the maximum and minimum bit rate fairly high...say, 8000/4000. Or use constant bit rate, set to 7000 - 8000.

Thanks for the reply to my post, I will have to check and experiment with MPEG2. I have another post on the site regarding Adobe premiere 6.5/7 and grabbing video from the digital 8 camcorder with the actual resolution. I haven't seen any replies to that, any suggestions where else I may find answers to those questions?

Digital 8 is, electronically, the same format as DV...it's just on a different physical tape cassette. You can transfer video from Digital 8 camcorders directly to your computer, with zero quality loss, if both your camcorder and computer have a Firewire (IEEE 1394, or Sony i-Link) port. If your camera has this connection, but your computer doesn't, you can add a Firewire card for $20-50 or so.
You'll need plenty of disk space, preferably on a separate hard drive from your system (C:) drive. DV video takes up about 18GB per hour.
